What is an SME IPO?

SME IPO stands for Small and Medium Enterprise Initial Public Offering. It's a way for SME companies to raise capital from the public by selling shares on a stock exchange.

In the mid-1990s, the Over-The-Counter Exchange of India (OTCEI) first emerged. However, it faced challenges and ceased operations. In response to recommendations, the BSE SME Platform and NSE EMERGE were established for SME listings. .

These platforms, operating on screen-based trading, have facilitated capital raising for smaller companies. SME IPOs have shown promise, with some companies transitioning to the main board after initial listing on the SME platform.

An SME Exchange, or an SME Platform, is a specialised trading platform within recognised stock exchanges. It provides a dedicated space for SMEs to list their securities and raise capital from the public.

For a company to launch an SME IPO, the rules are: (i) Post-issue paid-up capital should be less than ₹25 crore (ii) Minimum post-issue capital of ₹1 crore (iii) The SME should be incorporated under the Companies Act, 1956 (iv) The SME’s net tangible assets should be worth at least ₹1.5 crore (v) The SME should have a website (vi) Regardless of whether the SME is a public limited or private limited company, it must have completed an operating history of at least 3 years , If not, the project for which it plans to issue an IPO should be funded by: NABARD, SIDBI, Banks (other than cooperative banks), or Other financial institutions.

An SME IPO refers to the process through which small and medium-sized companies go public. These SME IPOs are listed on specialised platforms like BSE SME and NSE EMERGE.

In contrast, mainline IPOs are for larger, more established companies. They sell shares on the main stock exchanges (NSE & BSE).

The differences extend beyond scale: mainline IPOs have bigger issue sizes, stringent norms, and quarterly reporting requirements. SME IPOs, on the other hand, have relaxed norms, smaller issue sizes, and half-yearly reporting.

Anyone can apply for an SME IPO, including retail investors, High-Net-Worth Individuals (HNIs), and anchor investors. - Retail Individual Investors (RIIs): Individuals investing up to ₹2 lakh - Non-Institutional Investors (NIIs): Those bidding more than ₹2 lakh - Qualified Institutional Bidders (QIBs): Institutional investors like banks and mutual funds.
